HomeMy WebLinkAbout02-10-1960 Regular MeetingSTATE OF ALABAMA County of Baldwin The Water and Sewer Board of the City of Fairhope met in regular session at the pity Hall, Wednesday, February 1`0,1960 with the following members present: Chairman A. C. Mannich, R. Roy M-)yers, R. R. Teamer, City Manager C. B. Niemeyer, George Dyson and Frank Wiggins. The minutes of the previous regular meeting were read and approved as read. Drr. C. A. Gaston presented pref irmi nary sketch of area northwest of the Busy B Garage for sanitary sewer system, premanent outlay of streets to be presented at a later date. New-, water tank and- i nsta Ii1 at i on of 6' line on Gayfer Street to Ingleside to present 6"` line was discussed, Mr. Dyson to get estimated costs for future meeting. Motion by Mr. Teamer seconded by Mr. Moyers that George Dyson be authorized to purchase chlorinator from Wallace and Tiernan for $890.00 as per bid submitted. Mot iorn carried. It was duly moved and seconded that the meeting adjourn. Motion carried. Subject to app- roval of Purchaser's credit by Seller's home office, the terms of payment shall be net cash 30 days from date of invoice, title to remain in us until the equipment is paid for in full. Upon our failure to receive payment as provided herein, Seller may, without notice, enter the premises wherein the apparatus or equipment is installed and remove same. Any Federal, State and local sales, use and excise taxes covering the apparatusor equip ment herein or levied because of this transaction pre to be added to the total price of this proposal and paid by the Purchaser If supervision of installation is to be provided by us, these terms (unless otherwise speci- fied herein) may be considered as: 80% 30 days from date of invoice and 20% upon completion of installation: or, if installation is delayed for reasons beyond Seller's control, full payment will be due 90 days from date of invoice. Seller's consent to withhold shipment beyond shipping dates, of all or part of equipment or material to be furnished, without storage charges, shall not constitute a waiver of any rights hereunder Under circumstances set forth in the foregoing sentence, terms of pay- ment set forth in this provision shall be applicable to any partial shipment GUARANTEE & WARRANTY: Seller warrants for a period of one year after ship- ment that the apparatus of its manufacture is free from defects in work- manship and materials but its liability is limited to the replacement f. o. b. Belleville, N. J., of the defective parts thereof. Where circum- stances permit, Seller will invoke, for the benefit of Purchaser, the guarantee or warranty of Seller's vendor for equipment or material furn- ished hereunder. Seller shall not be liable for any direct or consequential damages arising from the sale or use of the apparatus or equipment other than as expressly provided herein. FORCE MAJEURE: The furnishing of equipment is subject to delay and cancell- ation caused by war, accidents, strikes, inability to secure labor and raw materials, fires, embargoes, car shortages, delays in transportation govern- mental restraints of any kind,and all other causes, whether of the some, or of a different class, affecting the production or delivery of the whole or any constituent part thereof. CONTRACT: This proposal and the Purchaser's acceptance shall not become a contract until approved by the Seller's authorized official at Belleville, New Jersey and when so approved shall constitute the entire agreement between the parties hereto, it being expressly understood that there ,are no express or implied warranties, representations, commitments o,r state- ments made.by Seller.or'any of its agents, servants or employees except as provided herein.
