the City Administration Building, 161 N. Section Street.
Present: Sue Mason, Chairman, Khim Vira, Mike Baugh, Colton Coile, Jack Nelson,
Betty Rivenbark, Secretary, Bing Miller, FBO at municipal airport
Sue presented today the final draft of the papers for establishing an Airport Authority.
She said she went to the attorneys, talked to the Mayor and came up with the draft
presented today. She said she needs a resolution today to dissolve the airport board
and reincorporate as the Fairhope Airport Authority, Inc. Colton Coile moved to
dissolve the airport board and reincorporate as the Fairhope Airport Authority. Khim
Vira 2"d the motion and it carried unanimously. Mike Baugh said he had a couple of
questions - was this the desire of the Mayor and Council, Sue said yes. He then asked
what the liability was for members serving on the authority. She said under Alabama
Law they cannot be sued for performance of duty. He asked about money to operate.
She said that we would need support of the municipality. Mike Baugh moved that Sue
Mason float bonds as Chairman of the Authority. Motion carried unanimously. Sue
said the one thing stopping us from going to the city council is we have not received the
certificate from the Secretary of State that was sent for in December. She had covered
the Certificate of reincorporation, the enabling resolution and said the by-laws will
come later. She asked Colton and Khim if they would join her as incorporators,
Geniece Johnson will continue to perform the duties of Treasurer and the account will
be set up with 2 signatures. She asked the board their feeling about having one
member "may„ reside in the police district and one member may be an elected city
council member. The board saw no problem with this. She said that state law made
provisions for replacing members before a term expired.
She asked Bing Miller if anything had been finalized since their last discussion with
Bryan Lewis. He said no, it was assigned to Tom Hart, their lawyer. Bing asked if the
city would consider removing the requirement of aircraft sales and rental from the
lease. Sue said she would take the letter but it would be tabled until later. Bing also
mentioned the derelict plane and said he had been in contact with the lady and that
they are trying to do something about it still. Sue emphasized that this must be taken
care of soon to cure the default.
As an update on the project, Sue said the clearing for the fencing was to start on the
10th, right now too wet, the mobile home on Bishop Road is sitting in a lake so the
clearing was delayed until the 24th of March.
