Present were Susan Mason, Chairperson, Mike Ford, Mike Baugh, Colton Coile, Jack Nelson, and Acting Secretary, Tyron Hoskins. Khim Vira and Brad Harris were absent. There being a quorum present, Sue Mason called the meeting to order. The minutes of the November 4, 2002 meeting were duly approved as written. An update on Teledyne Continental's lease was discussed. Sue Mason gave a brief summary of the following: May 2002 meeting — The board had several businesses that wanted to locate at the airport. At that time, Teledyne was contacted to find out what their intentions were. Teledyne requested that their rent be reduced. Shortly before the end of the reduced rent period, Sue inquired about their non -response to a letter from the City of Fairhope. July 9, 2002 Letter — A letter from Mayor Timothy Kant was sent to Teledyne with no response. Sue Mason, Mayor Kant, and other City Officials called representatives of Teledyne and were unable to talk to anyone. Messages were left, but no return phone call. Mayor Kant sent another letter to Teledyne stating that due to no response to the previous letters, that the City could assume that Teledyne agreed to the July 9, 2002, proposal. The City Council suggested that the lease be reviewed by the City of Fairhope. The review period ended on January 10, 2003, but the review of the response is ongoing. Mr. Waldrop, attorney for Teledyne, stated that Teledyne did respond to the letter and that Teledyne's response was appropriate and that Teledyne addressed all the issues brought out in the Mayor's letter. He provided copies of all the letters from Mayor Kant along with Teledyne's response. Sue Mason stated that the City of Fairhope has worked with Teledyne on several issues such as lowering the rent more than once and that she felt like Teledyne has not worked with the City at all. She further stated that Teledyne closed several days during the holidays without requesting permission from the Airport Board. She also noticed that doors were left open after closing and she was unable to reach anyone at the phone number posted at the airport. Sue asked if Teledyne was going to accept the offer in the July 9, 2002, letter from the City of Fairhope. Bing Miller, with Teledyne, stated that he assumed that Teledyne accepted the offer with conditions. Mike Baugh stated that he was unaware of the extent to which this situation has gone. He did agree that Teledyne is hard to reach, but he would like to keep Teledyne at the airport. Colton Coile asked if the City of Fairhope can back down from this and meet with the Teledyne representatives to come up with a solution. A meeting was scheduled for Monday, January 27, 2003, at 8:00 a.m. with the Airport Board, Mayor Tim Kant, and Teledyne. The meeting is to resolve all issues and move forward. Sue Mason discussed the formation on an Airport Authority. She stated that when you move from an Airport Board to an Airport Authority, the Authority is responsible for the property and obligations of the airport. No one received copies of the authority information; therefore, it will be further discussed at the March meeting to give everyone a chance to review the material. There being no further business to come before the Airport Board, the meeting was duly adjourned at 9:05 a.m. Tyron D. Hoskins, Acting Secretary
