STATE OF ALABAMA
COUNTY OF BALDWIN
The City Council, City of Fairhope, met in regular session
at 5:30, p.m.; Fairhope Municipal Complex Council Chamber,
161 North Section Street, Fairhope, Alabama 36532, on
Monday, 22 December 1986.
Present were Mayor James P. Nix; Councilmembers Roy C.
White, Jeanette Puckett, David E. Bishop, and Michael A. Ford;
City Attorney James Reid and City Clerk Evelyn Phillips.
Councilman Barney Shull was absent.
There being a quorum present, Mayor Nix called the meeting
to order. Minutes of the 8 December 1986 regular session were
duly approved.
Councilman Bishop moved to approve and execute an amend-
ment to the City's lease from AmSouth, N.A., the parking area
behind the Municipal Complex. AmSouth requested an amendment
to the effect that, if they sold the former AmSouth building,
the lease would be void. Seconded by Councilman Ford, motion
passed unanimously.
Council reviewed a report on a bid opening on printing
7,500 outside -the -city Beach Decals and 5,000 inside -the -city
Beach $ Dump Decals. Five bids were requested but only one
response came in: Professional Printing Company of Fairhope
at $2,625.00 total cost. After discussion, Councilman Bishop
moved to reject the bid and reoffer the bids for a better
response. Seconded by Councilwoman Puckett, motion passed
unanimously.
Mayor Nix offered the appointment of Mr. E. B. Gwin to
fill the 6-year term vacated by Mrs. Mary Doug Foreman on
the Planning & Zoning Commission. Councilman Ford moved to
approve Mr. Gwin's appointment. Seconded by Councilman White,
motion passed unanimously.
Councilman White introduced, and moved for the adoption
of, the following Resolution. Seconded by Councilwoman
Puckett, motion passed unanimously:

RESOLUTION'N0:'210-86
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAIRHOPE,
ALABAMA, as follows:
Section 1: The City of Fairhope, by and through its gover-
ning FoT, does hereby find and determine as follows:
(a) that the City of Fairhope, and its elected officials,
individually and in their representative capacities, and
their successors in office, have been named as defendants
in Civil Action Number 86-1007-BH-M in the United States
District Court for the Southern District of Alabama.
(b) that the City Council has determined that the law firm
of Hand, Arendall of Mobile, Alabama, can best represent
the City and its elected officials in that lawsuit.
Section 2: The Mayor is hereby authorized and directed to
take su�c� action as may be necessary to retain the law firm
of Hand, Arendall to represent the City and its elected
officials in the above -referenced lawsuit and to pay from
the funds of the City of Fairhope, Alabama, such costs and
expenses as may be reasonably incurred by such litigation
and to pay any judgment which may be rendered against the
City of Fairhope, Alabama, and its elected officials as a
result of such litigation, on such terms and conditions as
may be in the best interest of the City of Fairhope, but
which shall not conflict with this resolution.
Section 3: The provisions of this resolution are severable.
Section 4: All ordinances, resolutions and orders or parts
thereof —in conflict with this resolution, or to the extent
of such conflict, are hereby repealed.

of, the following Resolution. Seconded by Councilman Ford,

RESOLUTION NO. 211-86
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAIRHOPE,
ALABAMA, as follows:
Section 1: The City of Fairhope, by and through its gover-
ning ocy, does hereby find and determine as follows:.
(a) that the City of Fairhope Downtown Redevelopment Authority
has entered into an inducement agreement with Tonsmiere Con-
struction Corporation for the purpose of the acquisition and
renovation of an office and commercial facility where formerly
was located Gaston Ford in the City of Fairhope, Alabama.
(b) that by the terms of the incorporation of the City of
Fairhope Downtown Redevelopment Authority, all bonds or obli-
gations of this authority must have the specific approval of
the Mayor and Council of the City of Fairhope.
(c) that the Council has determined that the proposed bond
issue and obligation is in the best interest of the City of
Fairhope Downtown Redevelopment Authority.
Section 2: The execution and delivery by the City of Fairhope
Downtown Redevelopment Authority of an inducement agreement
between the Authority and Tonsmiere Construction Corporation,
and the issuance by the authority of industrial or downtown
redevelopment revenue bonds pursuant to such inducement agree-
ment be and they are hereby, approved, provided, such induce-
ment agreement and all subsequent agreements shall comply with
the Articles of Incorporation of the City of Fairhope Downtown
Redevelopment Authority, including but not limited to, the
payment of a contribution to the City of Fairhope, Alabama,
equivalent to the tax on the real property in the event the
property owner shall receive exempt status from taxation.
Section 3: All ordinances, resolutions, and orders or parts
t ereo in conflict with this resolution are, to the extent
of such conflict, hereby repealed.
